Legal
Terms of Service
These Terms of Service (“Terms”) are a legally binding agreement between you (personally and on behalf of the entity you represent) and Grass Valley Patient Resource Group (dba “HENDRX Genetics,” “HENDRX,” “we,” “us” or “our”), PO Box 2457, McKinleyville, CA 95519. These Terms govern your access to and use of the PhenoHunt application at hendrxgenetics.com, the open submission portal and embedded tools at phenohunt-embed.web.app (including embeds on partner websites), and the PhenoHunt Connect WordPress plugin (together, the “Services”).
By accessing, browsing, registering for or using the Services, you accept and agree to be bound by these Terms and our Privacy Policy. If you use the Services on behalf of a business, corporation or partnership, you represent and warrant that you are an authorized representative with the legal authority to bind that entity to these Terms.
1. Eligibility, accounts and Brand Partner status
You must be at least twenty-one (21) years of age to access or use the Services. The Services are specialized business tools designed for licensed commercial cannabis operators, agricultural researchers, brand partners and their authorized personnel.
- Commercial license verification. To use company workspaces, nursery booking features, clone dispatch tracking or commercial review portals, you and your business entity warrant that you hold an active, valid commercial cannabis license in good standing issued by your state regulatory authority (such as the California Department of Cannabis Control (DCC), the Massachusetts Cannabis Control Commission (CCC) or an applicable state equivalent). HENDRX may verify state licensing credentials and suspend access for any entity that fails to maintain active regulatory standing.
- HENDRX Brand Partners. Access to enterprise workspaces and specialized catalog tools is granted to approved HENDRX Brand Partners, contracted licensees and designated nursery clients. Brand Partners are permitted and encouraged to log, evaluate and track non-HENDRX varieties and independent breeding projects in their private workspaces, provided they maintain continuous compliance with HENDRX Brand Partner standards, quality criteria and these Terms.
- Jurisdictional restrictions. You agree not to access or use the Services from any location or jurisdiction where that use violates applicable local or state laws.
2. Accounts and approval
- You sign in with a Google account. Keep it secure; you're responsible for activity under your account.
- New accounts are reviewed and approved by an administrator. We or your company administrator may limit, change or remove access.
- Give accurate information, and tell us or your administrator if you think your account has been misused.
3. Company workspaces and your data
- Your company owns its data, subject to any commercial agreement, intellectual property covenant or Materials Transfer Agreement (MTA) between your company and HENDRX (see section 10). Records created in a company workspace belong to that company, even when staff change. Your company administrator controls who can see and edit them.
- You give us permission to host, copy, process and display your company's data only as needed to provide, secure and improve the Services, and as described in the Privacy Policy.
- You're responsible for the data you add and for having the rights to add it.
- You can ask us to export or delete your company's data by emailing info@hendrx.farm.
- Keep your own copies of important records. We back up the Services, but we don't guarantee data can always be recovered.
4. Reviews and submissions
When you submit a review, lab result, harvest report or other content through the portal, a website form or a delivery link:
- you confirm it's accurate to the best of your knowledge, it's your own, and you have the right to share it (including any lab certificate or photo);
- you give HENDRX a worldwide, royalty-free, perpetual, non-exclusive license to use, edit for format, combine with other data, publish and display it, including on HENDRX and partner strain pages, in PhenoHunt, and in marketing for the varieties;
- we may review, edit for format, approve, decline or remove any submission; and
- contact details (email, phone, license number) aren't published. Combined results such as average ratings may be.
5. Acceptable use
Don't:
- submit false, misleading or fraudulent reviews or lab results, or impersonate anyone;
- access data you aren't authorized to see, or try to get around access controls, rate limits or security;
- upload malware, or send spam or automated submissions;
- scrape, copy or resell the Services or their data, except your own company's data;
- use the Services to break any law, including cannabis, privacy and consumer protection laws;
- post content that's unlawful, infringing, harassing or hateful;
- bio-reverse engineer or exploit genetics: use any data, phenotypic evaluations, lineage pedigrees, chemotype profiles or genomic sequence identifiers accessed through the Services to reverse-engineer, sequence, genotype, breed, asexually propagate, chemically mutate or isolate genetic sequences from HENDRX germplasm, or deposit any HENDRX-derived sequence data into third-party, open-source or public repositories, without our prior written consent; or
- scrape or attack the Services: scrape, harvest, crawl or extract data from the Services through automated scripts or bots; attempt to circumvent authentication controls, rate limits or role-based permission tiers; or upload corrupt files, malware or fraudulent Certificates of Analysis (CoAs).
6. Cannabis legal compliance, interstate transfer restrictions and no medical advice
- Federal law acknowledgment. You acknowledge that cannabis remains classified as a Schedule I controlled substance under United States federal law (21 U.S.C. § 801 and following) and that state cannabis regulatory programs operate under independent state statutory authority. You are solely responsible for complying with all laws, transport requirements, track-and-trace mandates and commercial regulations that apply in your jurisdiction.
- California intrastate nursery restriction (no interstate commerce in plants).
- Intrastate distribution only. All living nursery stock, rooted cuttings, tissue cultures and germplasm produced or transferred by Grass Valley Patient Resource Group (dba HENDRX Genetics) under DCC Nursery License CCL18-0001546 and Self-Transport License C13-0000119-LIC are transacted, handled and delivered strictly within the State of California to verified California DCC commercial licensees.
- No interstate distribution of plants. HENDRX does not sell, transport, distribute or ship living cannabis plants, cuttings or plant material across state lines. The Services are not an offer, contract or mechanism for the interstate transportation or delivery of live cannabis.
- State track-and-trace and MTA execution. All physical clone bookings and nursery transfers within California require verified recipient DCC license status, recorded entry into the California Cannabis Track-and-Trace (CCTT / METRC) system, official transport manifests, and a signed HENDRX Conditional Materials Transfer Agreement (MTA).
- Out-of-state brand licensing and technology use. Approved Brand Partners operating outside California (including in the Commonwealth of Massachusetts) use the Services under separate brand licensing, quality criteria and software-as-a-service frameworks. Out-of-state Brand Partners warrant that all cultivation, clonal multiplication and commercial production in their home jurisdiction comply strictly with their state's regulations (including 935 CMR 500.000 and following in Massachusetts), and that they use only legally sourced plant stock authorized under their state license.
- No medical advice; FDA disclaimer. Terpene analyses, cannabinoid chemotypes and user reviews about sensory, physiological or experiential effects (for example soothing, focus or relief) are observational, user-reported records. They are not medical advice, have not been evaluated or approved by the US Food and Drug Administration (FDA) or state health authorities, and are not intended to diagnose, treat, cure or prevent any disease or medical condition.
7. Genetics and data informational disclaimers; agricultural warranties
- Informational data. Pedigree tracking, laboratory values, cultivation trials and phenotypic performance records are compiled from internal testing, partner facilities, commercial laboratories and user evaluations. Horticultural performance depends heavily on environment, lighting, nutrition, substrate biology, IPM practices and cultivator technique. PhenoHunt records are not a guarantee of crop yield, vigor, sex stability (absence of hermaphroditism) or specific secondary metabolite targets (THC, CBD or terpene percentages).
- Latent pathogen and viroid disclaimer. Diagnostic test results, pathogen screenings and Certificates of Analysis (CoAs) shown in the Services are historical, point-in-time laboratory analyses. HENDRX expressly disclaims any continuing warranty about the ongoing absence of latent systemic pathogens, endophytes or viroids (including Hop Latent Viroid / HLVd, Fusarium or Pythium) once plant material has left our physical nursery or entered third-party cultivation environments. All physical nursery transfers are governed strictly by separate sales agreements, METRC manifests and signed Materials Transfer Agreements (MTAs).
8. Automated tools
Some features use automated tools, including Google's Gemini API, to read documents such as lab certificates. Results can be wrong. Check every value before you save or rely on it.
9. Third-party services
The Services rely on third parties such as Google (sign-in, cloud hosting, file picker) and may link to other websites. Their terms and privacy policies apply to your use of them, and we aren't responsible for them.
10. Intellectual property, breeding data and germplasm
- Platform ownership. HENDRX and its licensors retain all intellectual property rights in the Services, including software architecture, database schemas, user interfaces, visual designs, algorithms, trademarks and documentation. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable right to access and use the Services for internal business purposes. If you send us feedback or ideas, we may use them without obligation to you.
- Breeding Data & Germplasm defined. “Breeding Data & Germplasm” means all HENDRX plant genetics and anything derived from them (including varieties, clones, unrooted cuttings, seeds, pollen, tissue cultures, progeny, sports, mutants and variants), together with all associated digital and biological records: parentage pedigrees, phenotypic observations, chemotype records and genomic sequence files.
- Intellectual property reservation. HENDRX reserves all statutory and common-law rights in its proprietary germplasm and derived materials. That includes all rights under the Plant Patent Act (35 U.S.C. §§ 161–164), utility patent law (35 U.S.C. § 101), the Plant Variety Protection Act (7 U.S.C. § 2321 and following), the California Uniform Trade Secrets Act (Cal. Civ. Code § 3426 and following) and the federal Defend Trade Secrets Act.
- Materials Transfer Agreements (MTAs) incorporated. Where physical plant material was transferred under an MTA or commercial supply agreement with HENDRX, the covenants, limitations and obligations of that agreement apply to all records in PhenoHunt and are incorporated into these Terms. Under those covenants, all New Developments (including mutants, bud sports, phenotypic variants, progeny, clones, seeds or cultures derived from HENDRX material) belong exclusively to HENDRX. If these Terms conflict with a signed MTA, the MTA controls.
- No implied license; no exhaustion. Displaying cultivars, pricing, nursery availability or order ledgers in PhenoHunt is not an exhaustion of any patent, PVPA or trade secret rights owned by HENDRX. No license to breed, multiply, propagate, clone or distribute proprietary cultivars is granted by implication, estoppel or platform access. Propagation rights transfer only through express written covenants in a signed MTA.
- Partner-owned cultivars and third-party germplasm. We recognize that Brand Partners manage diverse crop canopies. HENDRX claims no ownership, title or patent rights in independent varieties, third-party cultivars or private breeding lines that your company enters and designates as its own in its private workspace, provided those lines do not derive from, incorporate or infringe proprietary HENDRX germplasm or New Developments governed by an MTA.
- Confidentiality. Keep HENDRX's non-public Breeding Data & Germplasm and other non-public business information you access through the Services confidential, and use it only for the purposes HENDRX allows.
- Breeding ledger integrity. Breeding Data & Germplasm records, parentage histories and trial entries are permanent business records of the breeding registry, not personal data subject to consumer deletion requests (see the Privacy Policy).
11. Emails
We'll send you service emails, such as invitations, approvals, order and submission updates and security notices. We'll send marketing emails only as described in the Privacy Policy, and you can unsubscribe at any time.
12. Fees
If we offer paid plans or services, the price and terms will be shown before you agree to them, and those terms will apply in addition to these.
13. Suspension and termination
You can stop using the Services at any time. We may suspend or end access if you break these terms, if it's needed to protect the Services or others, or if we stop offering the Services. Where reasonable, we'll give notice and a chance to export your company's data. Sections 3–4 and 6–19 survive termination.
14. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT ALLOWED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY AND NON-INFRINGEMENT. WE DON'T GUARANTEE THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE.
15. Limitation of liability
TO THE FULLEST EXTENT ALLOWED BY LAW, HENDRX WON'T BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, CROPS, DATA OR BUSINESS, ARISING FROM THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM ABOUT THE SERVICES IS LIMITED TO THE GREATER OF THE AMOUNT YOU PAID US FOR THE SERVICES IN THE 12 MONTHS BEFORE THE CLAIM, OR US $100. Some places don't allow these limits, so they may not fully apply to you.
16. Indemnity
You'll defend and indemnify HENDRX against third-party claims arising from your content, your misuse of the Services, or your breach of these terms or the law, except to the extent caused by us.
17. Governing law, dispute resolution and injunctive relief
- Governing law and forum. These Terms and any dispute arising from your use of the Services are governed by the laws of the State of California, without regard to conflict-of-law principles. Any legal action or proceeding arising under these Terms must be brought exclusively in the state or federal courts located in Humboldt County, California, and each party irrevocably submits to the personal and subject-matter jurisdiction of those courts.
- Informal resolution. Before filing a formal legal claim, you agree to contact us at info@hendrx.farm and to try in good faith to resolve the dispute informally within thirty (30) days of notice.
- Carve-out for immediate injunctive and equitable relief. Notwithstanding the informal resolution provision, you acknowledge and agree that any violation of section 5 (Acceptable use), section 10 (Intellectual property, breeding data and germplasm), confidentiality provisions or the covenants of an applicable Materials Transfer Agreement causes immediate, irreparable harm to HENDRX for which monetary damages alone are inadequate. HENDRX may immediately petition any court of competent jurisdiction for temporary restraining orders, preliminary injunctions, writs of possession or other equitable remedies to stop unauthorized propagation, breeding, genetic dilution or trade secret disclosure, without waiting thirty days.
18. Changes
We may update these terms. We'll post the new version here with a new date. If a change is material, we'll tell account holders by email or in the app before it takes effect. Using the Services after that means you accept the updated terms.
19. General
These terms and the Privacy Policy are the whole agreement about the Services, along with any signed agreement or order terms, which control if they conflict. If a part is unenforceable, the rest still applies. Not enforcing a term isn't a waiver. You may not transfer these terms without our consent; we may transfer them with our business.
